Terms of Service

These Terms of Service ("Terms") govern your access to and use of EstiMate, including its website, calendar and task tools, Nova, and related services (together, the "Service"), operated by [EstiMate LLC — Mississippi limited liability company, formation pending] ("EstiMate," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. The Service

EstiMate helps you estimate, schedule, and track how long tasks actually take, using your own history to improve future estimates. The Service includes recurring routines, Nova's scheduling tools (plain arithmetic over your own calendar — no AI), optional read-only import of busy time from a connected Google or Outlook calendar, and an optional Pro-tier "Community Average" feature described below.

Nova shows you its result before anything is added to your calendar, and estimates/predictions (including any Community Average) are informational only — they are not guarantees of how long a particular task will actually take for you.

2. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 13 years old to use the Service. Notify us promptly of any unauthorized use of your account.

3. Plans and Fees

EstiMate currently offers a Free plan and a Pro plan with additional features (such as Community Average). Pro access may currently be granted manually at our discretion while paid billing is not yet enabled. Once paid billing is available, pricing, billing frequency, and cancellation terms for Pro will be clearly presented before you're charged, and you can cancel a paid subscription at any time, effective at the end of the then-current billing period unless stated otherwise at checkout. We may change our pricing or plan features going forward, with notice for any change affecting an active paid subscription.

4. Acceptable Use

You agree not to:

• Use the Service for anything illegal, or to plan, facilitate, or carry out harm, harassment, or stalking targeting another person;
• Attempt to disrupt, overload, or gain unauthorized access to the Service or other users' data;
• Resell, sublicense, or use the Service to build a competing product without our written permission;
• Upload content you don't have the right to share, or that infringes someone else's rights.

5. Nova

Nova is a set of deterministic scheduling tools — plain arithmetic over your own calendar and task history, not an AI model. It can still get something wrong (a bad estimate, a slot that doesn't actually work for you) — you're responsible for reviewing its output before it's added to your calendar. Nova is a time-management tool, not a source of professional (medical, legal, financial, or similar) advice, and isn't a substitute for emergency services in a crisis.

6. Connected Calendars

If you connect a Google or Outlook calendar, EstiMate reads (never writes to) that calendar to avoid scheduling over your existing commitments. That connection and the data it returns are also subject to Google's or Microsoft's own terms; we're not responsible for the availability or accuracy of a third-party calendar service. You can disconnect a calendar at any time in Settings.

7. Your Content

You own the tasks, routines, notes, and other content you put into EstiMate ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service for you (for example, generating your own future estimates from your own history). We don't claim ownership of Your Content and don't sell it — see our Privacy Policy for the one narrow, opt-in exception (anonymized, aggregated Community Average data).

8. Community Average

Community Average is an optional, opt-in Pro feature that shows the aggregate time a task typically takes across EstiMate users who have chosen to share. If you opt in (during onboarding, or later in Settings), your own completed-task times are included anonymously in these aggregates, never shown individually or tied to your identity, and only surfaced once at least five distinct people have contributed for a given task. You can opt out at any time in Settings; opting out takes effect immediately for future calculations.

9. Intellectual Property

The Service, including its design, software, and branding, is owned by us or our licensors and protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, we reserve all rights.

10. Termination

You may stop using the Service, or permanently delete your account and all associated data, at any time via Settings → Delete account. We may suspend or terminate your access if you materially violate these Terms. Sections that by their nature should survive termination (e.g. Disclaimers, Limitation of Liability, Governing Law) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT ANY ESTIMATE, PREDICTION, OR NOVA OUTPUT WILL BE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [EstiMate LLC — Mississippi limited liability company, formation pending] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $50.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Service.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Mississippi, and you consent to that jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after a change takes effect means you accept the updated Terms.
